# UAE Business Setup Documents Checklist for Foreign Investors and Companies

[Emiratisation Hiring](https://blog.tascoutsourcing.com/insights/tag/emiratisation-hiring)

The most common cause of delay in setting up a company in the UAE is incomplete or incorrect paperwork. Until the authorities receive each document in the correct format, they won’t process an application, and if there’s one mistake, the entire file gets sent back. The risk for foreign investors is higher as documents from another country generally need to be translated, attested and legalised before they are accepted.

This checklist explains what is normally required for Business Setup UAE. The exact list varies according to the emirate, licensing authority, legal form and business activity, and therefore each element should be verified with the relevant authority prior to submission.

### **Documents Required From Individual Shareholders**

Every individual who will own shares in the company must provide personal documents. These are used to verify identity and to complete the immigration and licensing records.

- A valid passport copy with at least six months of remaining validity
- Passport-size photographs with a white background
- A copy of the UAE entry stamp or visa, if the shareholder is already in the country
- A copy of the Emirates ID, if the shareholder is a resident
- Proof of residential address in the home country, such as a utility bill or bank statement
- A no objection certificate (NOC) from the current UAE sponsor, if the shareholder already holds a UAE residence visa under another employer
- A personal bank reference letter or proof of source of funds, which banks and some authorities now request

Where a shareholder does not intend to live in the UAE, the passport and address proof are usually still required, but the visa documents are not.

### **Documents Required From Corporate Shareholders**

When the shareholder is a company, more paperwork is needed. The authority must be able to confirm that the parent company exists, who controls it, and who has the power to act on its behalf. The following are commonly requested:

- Certificate of incorporation
- Memorandum and articles of association, or equivalent constitutional documents
- Certificate of good standing, issued within the last three to six months
- Certificate of incumbency or a register of directors and shareholders
- Board resolution approving the setup of the UAE company and naming the authorised signatory
- Power of attorney, if someone other than a director will sign on behalf of the parent
- Passport copies of all directors and authorised signatories
- Details of the ultimate beneficial owners, meaning the individuals who own or control the parent company

If the parent company is registered outside the UAE, all of these documents normally need to be translated and attested.

### **Attestation and Legalisation of Foreign Documents**

Documents that are issued abroad cannot be accepted on the basis of their issuance alone. Usually, there is a process through which these documents have to go to enable the UAE authorities to use them. These documents are normally:

- Notarised in the country where they were issued.
- Attested by the foreign affairs department of that country.
- Attested by the UAE embassy or consulate in that country.
- Attested by the Ministry of Foreign Affairs of the UAE.

Certain countries have signed the Apostille Agreement. The UAE has started accepting documents issued under this agreement. However, there are different rules regarding this in various countries and also among the different departments. It is always better to make sure which procedure should be followed before having the document notarised.

Documents that are not in Arabic or English are supposed to be translated through a certified legal translator. Arab language translation may sometimes be necessary for submission to mainland bodies.

### **Documents Related to the Company Itself**

Apart from shareholder documents, the company must supply its own set of records. Most of these are prepared during the setup process.

- Trade name reservation certificate, showing the approved company name
- Initial approval from the licensing authority
- Application form for the trade licence, signed by the owners or their representative
- Memorandum of association, for mainland limited liability companies, signed before a notary or the relevant authority
- Articles of association or shareholder agreement, for free zone companies where applicable
- Business plan or activity description, which some free zones and regulated sectors require
- Proof of share capital, where a minimum capital is required for the chosen activity

The trade name must follow the naming rules of the authority. Names that include restricted words, personal names without consent, or references to religious or political terms are normally rejected.

### **Office and Premises Documents**

Most licences require a registered business address. The type of document depends on whether the company is on the mainland or in a free zone.

- A tenancy contract (Ejari in Dubai) for mainland offices
- A lease agreement or flexi-desk agreement for free zone premises
- A copy of the landlord's title deed or trade licence, where requested
- A site plan or layout drawing, for activities that need inspection

Some activities also require a physical inspection of the premises before the licence is issued. This applies to warehouses, workshops, food businesses and similar operations.

### **Approvals for Regulated Activities**

Certain activities need approval from an authority other than the licensing department. The application is usually submitted before or alongside the trade licence request. Examples include:

- Health and medical services, which need approval from the health authority
- Financial services, which need approval from the Central Bank or the relevant financial regulator
- Education and training, which need approval from the education authority
- Food businesses, which need approval from the municipality
- Activities with fire safety implications, which need Civil Defense approval
- Transport and vehicle-related activities, which need RTA approval

Foreign investors should confirm at an early stage whether their activity needs one of these approvals, since the process can add several weeks to the timeline.

### **Documents Needed After the Trade Licence Is Issued**

The licence is only the first step. Once it is issued, further documents are needed to make the company operational.

- Establishment card, which is required to sponsor employees
- Immigration file or electronic registration with the immigration authority
- Residence visa applications for the owners and employees, with medical test results and Emirates ID applications
- Labour contracts for employees, registered with the Ministry of Human Resources and Emiratisation
- Corporate bank account opening documents, including the trade licence, shareholder documents, lease and a company profile
- Corporate tax registration with the Federal Tax Authority
- VAT registration, if taxable supplies exceed the mandatory threshold

Corporate tax registration applies to almost all businesses, including those in free zones, so it should be planned from the start.

### **Common Document Mistakes to Avoid**

Certain problems appear again and again when foreign investors submit their applications.

- Names that do not match across documents, such as a passport name spelled differently from the parent company records
- Expired passports or certificates of good standing
- Documents that were attested in the wrong order or by the wrong office
- Translations that were not done by a certified translator
- Missing signatures or an unauthorised person signing for the company
- Outdated forms, since authorities update their templates from time to time

Checking each document against the requirements before submission removes most of these risks.

### **Frequently Asked Questions**

1. **How long does it take to prepare the documents for company setup in the UAE?**

For individual shareholders with valid passports, the documents can usually be prepared within a week or two. In the case of corporate shareholders who are from abroad, the time frame would be longer due to notarisation and attestation, and it could range from one to three weeks based on the country.

1. **Do all foreign documents need attestation?**

Most documents issued outside of the UAE require attestation or apostille. The process depends on the country and the authority. Hence, the process should be confirmed beforehand when preparing the document.

1. **Can documents be submitted in English?**

Many of the free zones accept English documents. The mainland authorities usually need an Arabic translation of the documents. A legal translator should prepare the translation and certify it.

1. **Is it necessary to be in the UAE to set up a company?**

Most probably not. The documents can be signed through a power of attorney, and various steps in the process can be done online. But the shareholder needs to be physically present to complete the visa and bank account opening procedures.

1. **What happens if a document is rejected?**

The authority will return the documents with the reason for rejection, and the applicant will need to fix the problem and submit the documents again. This delays the procedure and sometimes even means repayment of the fees.
