[Emiratisation Hiring](https://blog.tascoutsourcing.com/insights/tag/emiratisation-hiring)

Getting the trade licence is a crucial milestone, but it does not mean the company is ready to operate. Numerous registrations, approvals and internal arrangements still need to be completed before the business is able to hire staff, open a bank account, issue invoices and trade without risk. For those dealing with Business Setup UAE, the period after formation is where many companies lose time, mostly because the steps are not planned.

This article outlines the main steps that follow company formation, the order in which they are usually handled, and the points that commonly cause delays.

### **Review the Licence and Constitutional Documents**

The first task is to check the documents issued at formation. The trade licence, memorandum of association or articles of association, and any shareholder agreement should be reviewed carefully for errors.

The points to check include the company name, the licensed activities, the shareholder names and share percentages, the registered address and the licence validity dates. A spelling error or a wrong activity is easier to correct at this stage than after the bank and immigration files have been opened. Copies of all documents should be stored in one place, since almost every later step depends on them.

### **Register the Establishment With the Immigration and Labour Authorities**

A company that plans to employ staff must open an establishment card and an immigration file. The establishment card allows the company to sponsor employees and apply for work permits and residence visas. It is linked to the licence and the registered premises, and the number of visas available depends on the office space and the type of licence.

Mainland companies register with the Ministry of Human Resources and Emiratisation and the immigration authority of the emirate. Free zone companies usually go through the zone authority, which handles its own immigration procedures. The establishment card must be renewed on time, since an expired card blocks new visa applications and can lead to fines.

### **Arrange Visas for Owners and Employees**

Once the establishment card is active, residence visas can be processed for the owners, managers and employees. The usual sequence is as follows:

1. Entry permit or status change application
2. Medical fitness test
3. Biometrics and Emirates ID application
4. Residence visa stamping
5. Emirates ID delivery

Employees who are already in the UAE may complete a status change instead of leaving and re-entering the country. Work contracts must be registered where the law requires it, and employers must follow the rules on wage payment and insurance. Health insurance is mandatory in some emirates, and coverage should be arranged before the visa is issued.

Each step has its own processing time, so applications should be filed in good time. Delays in medical tests or missing documents are the usual causes of slow visa issuance.

### **Open a Corporate Bank Account**

Opening a corporate bank account is often the slowest step after formation. Banks review the licence, the shareholder documents, the ownership chain, the nature of the business, the expected transactions and the source of funds. Some request a business plan, contracts with customers or suppliers, and proof of the registered premises.

Companies with foreign shareholders or complex ownership structures should expect closer scrutiny and a longer review. Preparing the documents in advance and making sure the licensed activity matches the real business reduces the risk of a refusal or a request for further information. Applying to a bank that is familiar with the company's zone and sector can also help.

### **Register for Corporate Tax**

Corporate tax registration with the Federal Tax Authority applies to most companies, including those in free zones. Registration is completed through the FTA online portal and requires the trade licence, shareholder details and information about the business. A tax registration number is issued once the application is approved.

After registration, the company must keep proper accounting records, file annual tax returns and meet the payment deadlines. Free zone companies that want to qualify for a 0 per cent rate on qualifying income must meet the conditions for a Qualifying Free Zone Person, including adequate substance in the zone. The position should be reviewed with a qualified tax adviser against current legislation.

### **Check VAT Registration Requirements**

Value added tax registration is mandatory when taxable supplies exceed AED 375,000 over twelve months. Voluntary registration is possible when supplies or expenses exceed AED 187,500. Companies that expect to reach the threshold soon after starting should plan for registration early.

Once registered, the company must issue tax invoices in the required format, charge VAT at the correct rate, file returns on time and keep records for the period set by law. Errors in invoices and late filings lead to penalties, so the accounting system should be set up correctly from the first transaction.

### **Complete Other Registrations Where Required**

Depending on the structure and activity, further registrations may apply. These include:

- Ultimate beneficial owner registration, where the company must record the individuals who own or control it
- Economic substance reporting, for companies carrying out certain relevant activities
- Registration with the relevant chamber of commerce, where membership is required
- Import and export code registration with customs, for companies that trade in goods
- Approvals from other authorities such as the municipality, Civil Defense, the health authority or the RTA, for regulated activities

Some of these have deadlines, and missing them can lead to fines. A checklist prepared at the time of formation helps to confirm which ones apply.

### **Set Up Accounting, Payroll and Internal Records**

A company needs a working accounting system from the start. Books must be maintained in line with the applicable rules, and supporting documents should be kept for the required period. Payroll should be arranged through the Wages Protection System where it applies, so that salaries are paid on time through approved channels.

Internal records are equally important. The company should maintain a register of shareholders and directors, minutes of board decisions, copies of contracts and a file for each employee. Good records make audits, bank reviews and future licence changes much simpler.

### **Track Renewals and Ongoing Compliance**

Many obligations recur every year or every few years. The main ones are:

- Trade licence renewal
- Establishment card renewal
- Employee visa and Emirates ID renewals
- Lease or tenancy contract renewal
- Corporate tax return and VAT return filings
- Audit and financial statement requirements, where applicable

A renewal calendar with reminders at 90, 60 and 30 days before each expiry gives enough time to prepare documents and avoid fines. Assigning a named person to each deadline prevents tasks from being missed when staff change roles.

### **Common Mistakes After Formation**

Several problems appear often in practice:

- Starting operations before the establishment card, bank account or tax registration is in place
- Leaving errors in the licence or company documents uncorrected
- Missing the corporate tax registration deadline
- Hiring staff before the visa quota and insurance are arranged
- Ignoring renewal dates until a fine or a portal warning appears
- Keeping incomplete accounting records in the first year

Most of these can be avoided by preparing a post-formation plan and following it in order.

### **Frequently Asked Questions**

1. **How long does it take to become fully operational after receiving the trade licence?**

It varies by emirate, authority and activity. The establishment card and visas may take a few weeks, while bank account opening can take longer. Preparing documents in advance shortens the overall period.

1. **Can a company start trading as soon as the licence is issued?**

Only within the licensed activity, and only if the required approvals are in place. In practice, most companies also need a bank account and tax registration before they can operate properly.

1. **Is corporate tax registration required for free zone companies?**

Yes. Free zone companies fall within the corporate tax regime and generally must register, even if they qualify for a 0 per cent rate on qualifying income.

1. **What is the establishment card, and why is it needed?**

The establishment card is an official record that identifies the company with the immigration and labour authorities. It is needed to sponsor employees and apply for visas and work permits.

1. **What happens if a renewal deadline is missed?**

The company may face fines, and in some cases, services such as visa processing may be blocked until the renewal is completed. Prolonged delay can lead to licence suspension or cancellation.
