# What to Consider Before Choosing a Free Zone for Your UAE Business

[Emiratisation Hiring](https://blog.tascoutsourcing.com/insights/tag/emiratisation-hiring)

The UAE has more than forty free zones, and each one operates under its own regulations, fee structure and licensing rules. To an investor comparing options for Business Setup UAE, many of them look alike on paper. In practice, they differ in ways that affect cost, market access, tax treatment and how easily the company can grow.

Choosing a zone on the basis of the lowest package price is a common mistake. A better approach is to compare the options against the needs of the business. This article sets out the main factors that should be reviewed before a decision is made.

### **Confirm That a Free Zone Is the Right Route**

A free zone is usually best suited for those companies that deal internationally, serve their clients overseas, engage in logistics or manufacturing activities, or belong to the industry in which the free zone specializes. A free zone is not usually best for those firms that have their clientele mostly in the UAE. A firm registered as a free zone firm is not able to trade freely in the mainland market without a distributor or another license, the process of which varies with the emirate.

If the revenues are expected to come largely from local customers, a mainland license might be easier. This should be settled first, since it narrows the choice considerably.

### **Check That the Zone Permits Your Business Activity**

Each free zone issues licences only for the activities it has approved. Some zones cover a wide range of trading and service activities, while others focus on one sector such as media, technology, healthcare, finance or aviation.

The activity on the licence should match what the company will actually do. A mismatch can cause problems when opening a bank account, renewing the licence or dealing with customers. Certain activities also need approval from an outside regulator. Financial services, medical services and education are typical examples, and the approval process can add weeks to the timeline.

The number of activities allowed under one licence also matters. Some zones permit several activities on a single licence, while others limit the company to one or two.

### **Understand Market Access**

Market access is the factor that most often decides whether a free zone works for a company. There are three points to review.

The first is whether the company can serve customers inside the UAE. Some zones have arrangements that allow limited mainland trading, and some emirates allow free zone companies to obtain a permit or dual licence. The conditions, costs and restrictions vary, so they should be checked for the specific zone.

The second is customs and logistics. Companies that import or export goods should look at the zone's port or airport access, warehousing and customs procedures. A zone close to a major port or airport can save time and transport costs.

The third is whether the company can open a branch or a second entity on the mainland later. This gives flexibility if the business model changes.

### **Review the Tax Position**

The federal corporate tax regime applies to free zone companies as well. A free zone entity may qualify for a 0 per cent rate on qualifying income, but only if it meets the conditions of a Qualifying Free Zone Person. These conditions include having adequate substance in the zone, earning income from permitted sources and not carrying out excluded activities. Income that does not qualify is taxed at the standard rate.

Because of this, the choice of zone should be made together with a review of the expected income. A company that plans to earn a large share of its revenue from mainland customers may find that the tax benefit is smaller than expected.

Value added tax and customs duty treatment also differ depending on the zone and the type of goods. A qualified tax adviser should confirm the position against current legislation, since the rules have changed in recent years.

### **Compare the Full Cost**

The headline package price rarely shows the full cost of running a company. The following items should be compared across zones:

- Licence fee and annual renewal fee
- Registration and application charges
- Office or desk rental, including any minimum lease term
- Visa and Emirates ID costs for each employee
- Establishment card and immigration file fees
- Share capital requirements, if any
- Charges for amendments, such as adding an activity or changing a shareholder

Some zones advertise low entry prices but charge more for renewals, additional visas or changes to the licence. Requesting a full fee schedule, including renewal costs, helps avoid surprises in the second year.

### **Look at Office and Visa Allocation**

Free zones offer different kinds of premises. These range from flexi-desks and shared offices to private offices, warehouses and industrial units. The type of premises usually determines how many visas the company can obtain. A flexi-desk may allow only one or two visas, while a larger office unlocks a higher quota.

Companies that plan to hire should check the visa allocation before signing a lease. Moving to a larger unit later means new paperwork and may involve extra cost.

Some zones also ask for a physical presence or a minimum level of substance. This is now more relevant because of the tax conditions described above.

### **Consider Banking and Reputation**

Opening a corporate bank account is often the slowest part of setup. Banks look at the ownership structure, the activity, the source of funds and the location of the business. Some banks are more familiar with certain zones than others, and this can affect how quickly an account is opened.

The reputation of the zone also counts. Established zones with a good regulatory record tend to be better understood by banks, customers and overseas partners. It is reasonable to ask how long the zone has been operating, what kind of companies are based there and how it handles compliance.

### **Assess Support and Future Growth**

The quality of the zone's administrative support affects day-to-day operations. Points to check include how quickly licences and visas are processed, whether services are available online and how responsive the zone authority is to queries.

Growth should also be considered. A company may need more visas, a larger office or an additional activity within two or three years. It is worth asking how easy the zone makes these changes and whether there is room to expand. A zone that suits a small start-up may not suit a business with fifty staff.

### **Common Mistakes When Selecting a Free Zone**

Several errors appear often in practice:

- Choosing on price alone, without checking renewal and add-on costs
- Assuming the company can trade freely on the mainland
- Selecting an activity that does not match the real business
- Ignoring the tax conditions for qualifying income
- Underestimating the time needed for bank account opening
- Signing a lease that does not allow enough visas

Most of these can be avoided by carrying out the comparison before applying, instead of after.

### **Frequently Asked Questions**

1. **Can a foreign investor own 100 per cent of a free zone company?**

Yes, in most cases. Free zones have long allowed full foreign ownership. Some regulated activities may carry extra conditions, so the position should be confirmed for the activity in question.

1. **Can a free zone company do business on the UAE mainland?**

Not directly, in most cases. The company may need to work through a mainland distributor, obtain a permit or open a separate mainland entity. The rules differ by emirate and by zone.

1. **Is a physical office required in a free zone?**

It depends on the zone. Many offer flexi-desk or shared arrangements, while others require a private office or warehouse. The type of premises usually affects the number of visas that can be issued.

1. **Do free zone companies pay corporate tax?**

Free zone companies fall within the corporate tax regime. A qualifying company may pay 0 per cent on qualifying income, but any income that fails to meet the conditions is taxed at the standard rate. Professional tax advice is recommended.

1. **Can a company move from one free zone to another?**

Yes, however, it requires cancellation or transfer of licence, change of immigration records, and modification of banking and contract arrangements. It entails expenditure of time and money; hence, it is better to choose wisely from the beginning.
